The Associate General Counsel is responsible for supporting the company's solutions teams in all aspects of their operations as well as supporting the company's aggressive M&A strategy. The Attorney will be expected to work directly with the business units of the corporation and high level executives.

Primary Duties:
Support the company's solutions teams in all aspects of their operations, including drafting, reviewing and negotiating commercial contracts, including dealer agreements, partner agreements and software license agreements.

Support the company's M&A strategy through drafting, reviewing and negotiating M&A agreements. Supervise outside counsel. Support the company's business development team.

Requirements

College Degree & Juris Doctorate

Member of a State Bar (New York Bar preferred)

At least 5-7 years of legal experience either at a top tier law firm or in-house

Must possess a minimum of 4 years of large firm M&A experience, including negotiating and drafting M&A agreements

In house experience drafting and negotiating commercial agreements is a plus

Exceptional organizational skills with the ability to handle multiple, high priority projects with a keen attention to detail

Possess sound decision-making ability and understand risk

Strong interpersonal, leadership, negotiation, consulting, analytical and problem solving abilities
